Bob as you know the reason the previous merger did not go through
was because management realized that the combined companies
would have to show "goodwill" as one of the assets of the combined
company's and this asset would be depreciated going foward making
the financial picture not good as I suppose this declining asset would
have to be written off against earnings going foward. So it would be
quite hard to show an improving earnings picture with the continuing
writeoff of this asset going forward.I have been told that this goodwill would NOT have to show up on the balance sheet of this proposed merger if the stock prices of the two were "different" .....................

So you know damn well the stock prices of these two stocks will
be different !!!!!!!!!!!!! Now that one CEO is running BOTH companies
how far away can the merger be. Not far I suppose, as soon as the stock prices get to where the goodwill asset would not have to be shown is the day we will be combined. JC
