If acquisition is neutral to eps in '98 (I assume it's not accretive or that would have been mentioned in the release), I think the deal is positive; the quote by MOT in the press release is rare and a HUGE plus; being the pessimist I am, I assume the deal will be dilutive or they wouldn't have asked for a quote from MOT. Either way, the weakness in the stock probably already reflects any minimal dilution (I hope).
