'morning Jon. Good point, and maybe I'm being too casual about this. Am I wrong when I say that, in event of change of control at BGEN, it's safe to assume that Elan and JNJ would be able to structure a deal that meets the legal requirements? In any case, maybe this whole issue is overblown. The deal between Elan and Biogen has mechanisms to assure a reasonable price for the half of Ty that's being transferred. So it's not like someone is going to get a big windfall as a result of COC.
The issue I may have overlooked is that this might open up Elan to having to give JNJ a better deal in conjunction with fixing the agreement? Depends on how important the offending wording is to JNJ.
