Copied from SH: The article was posted before and is inconsequential since it's essentially a rehash of the NR with an added (stupid) Luxton comment about the lawyers. Clearly the lawyers of the parties to the deal (VRS, Versa, banks) were in agreement or else there would be no deal. DUH! What was missing were the lawyers representing the only party bound to take in the chin, the shareholders. Sounds to me like they conveniently forgot to get a fairness opinion which I am 99% sure is arequirement. Where was the VRS board of directors who has a fudutiary duty to act in the best of the company and its owners and that happens to be us, the shareholders?
