I recently found your site, sounds like you would be interested in this story.

An Ottawa corporation Allen Vanguard has recently attempted to sell
the corporation to an American investment firm. The problem is that
they did so by negotiating behind closed door in silence exclusively
without announcing proper material changes. When you look back over
the last 6 months they were obviously writing down assets setting this
transaction up and now claim they don't have to follow proper
securities or Corporate Governance and allow shareholders to vote on
the deal. They claim the deal doesn't cover the liabilities therefore
they have cancelled the shares without any compensation. As many small
investors have invested relying on proper Corporate Governance and
press releases claiming the business was a going concern announcing
sales and making optimistic statements. They even went as far when a
deal fell apart with another investor to put in a press release that
they entered into exclusive negotiations for a three week period of DD
and shareholder approval would be sought. Well 6 months later they
make a press release on a Saturday 12Sep09 that the deal is done and
shares are cancelled. This company has benefited so I am told from
large sums of Canadian tax payer money to develop its products and now
has given those developments to an American controlled company for a
value in my opinion well below its true value at least not tested in
an open market. This deal was also endorsed and possibly conceived
with RBC who was the major debt holder. In my opinion this deal is an
attack on our democracy and is possibly fraudulent. On a side note
many small average "joes" were discussing ways to fight back on a
message board on Stockhouse and the board was shut down according to
Stockhouse because Allen Vanguard threatened legal action against
them. Also, from what people formally on the board now on Silicon
Investor site under Allen Vanguard Rescue message board claim the
company has called them at their homes and threatened them with legal
action. I have never in my life experience anything like this where a
company is questioned for a deal and they breach the fundamental right
under the Constitution of free speech in an attempt to silence
shareholders. Please help us Canada and our democracy as we know it is
falling apart.
