The Board could make it clear to authorities they are not interested in pursuing criminal charges. In my experience, local law enforcement doesn't like to pursue financial crimes. They aren't generally equipped to handle prosecutions that involve lots of documents and accounting issues.

IRS likely wouldn't be interested in a prosecution unless it would be for filing a false tax return (failing to claim the embezzled funds as income).
