Also clearly it gives this Special Committee the ability to say well we got it up from 55 c. to whatever so we did our job My view is that an increase of 45% in the extant offer is clear evidence of what is going on here-- the first offer was clearly BS and based on nothing as is the second and should be rejected. The only way to get reality here is to have an open sale process where Icahn has the ability to match any third party offer, and even that is imperfect since there is no incentive on the part of anyone else to do the work and bid when the controlling shareholder has said he is not a seller. Whatever, this Special Committee is not doing its job if it agrees to ANY deal without a market check. So, Dear Bob, stiffen up, do your job and be a true fiduciary for the minority here.
