Seems to me that if they really had the shareholders' best interest at heart - they would have used some of that cash they have sitting there doing nothing, instead of diluting the float. Yahoo stock is terrific currency (Just ask my wife). The owners of 411 had no problem taking it. Why don't you look at it that way? 411 is a solid franchise. Who says the transaction isn't accretive? 411 is fertile advertising ground.
