I am leaning in favor of your proposal as it stands because it addresses most of the concerns that I, as a stockholder, have felt since the proxy issue first came up. To suggest that you are a company plant when your proposal in no way is a vote in favor of management is absurd. Definitly a case of "pot calling the kettle black." In fact, any doubts I might have had about sincerity of your proposal were erased when the accusation was made.
Regarding the proposal itself, particularly the fourth item regarding the election of a new totally independant director, Do you feel it would be difficult attracting a quality person for this position given the current lack of credibility this company faces? Would it be possible for the stockholders to present their own candidate for this position? Although I'm not sure of the legalities of it, I have personally known of situations where the management of companies (not penny stocks either) have made "deals" with institutional votes such as promising new independant directors for votes with management on issues the stockholders were opposed to. To me this indicates that "deals" can indeed be struck with people or institutions with positions that would make a difference in the voting.
I am not sure about the necessity of the votes being channeled through your firm except for the purpose of showing management a unified front. I would certainly not be opposed to this process if the others here WITH VOTING SHARES see it as a viable option.
