His proposal exactly mirrors management when you consider that the consensus of opinion here today including that of George was to vote down all 15 proposals. 1:2 or 1:5 sounds very like the 1992 1:4 reverse already taken by this company.

One outside director is like throwing a snowball into hell. Besides they "claim" not to pay directors. They claim to have met 29 times in the last 10 months the "new outside director" would have a full time job going back and forth to LI. What should be looked into is the so called "outside" director they "clam" to have now. About as outside as your kidneys.

What about the preferred stock proposal?

What about his previous "logic" that the company needed 150 million additional shares to fund the BT deal. "Logic" seems to change with the winds here. Now he has a new "logic" why they might need less. The real "logic" is they need the stock to fund day to day operations. You have an accountant that seems to know something don't you have a lawyer? Or, are you embarrassed to tell him/her what you have gotten yourself into? For God sake don't be.
