Mike and all, here are the questions that Mikes been charting in my own words. I will post Bobs answers as well.

1) What productive roles has the Wall st. Group & Vista Quest played in terms of PR for this company?

2) We as a group have debated the merits of a stock split for this company, what is the boards view on this subject? (pros vs cons)

3) What has Ray Dirks done for the price of this stock? And what are his future plans along these lines?

4) Can we trade our Common stock for pref.? ans. NO

5) What is the cash "Burn Rate"? Is the company spending more on operations than rev. provide?

6) What additional financing has the company made arrangements for in case of a cash shortage this year? ans.Line of Credit approved for 50MM based upon 1 1/2 times monthly revs

7) What plans does the company have in selling or spinning Telecom?
ans. None

8) Who recieved the Q series stocks? and who are the consultants referred to?

9) Can you provide a list of conversion rates and the restrictions of each Pref. stock?

10) What will be the shareholders of record compensation for the MRL Spin off? ans. Stocks

11) Other than the CA incident are there any other legal problems in the forseeable future that can effect this stock? ans. None CA is being settled for $400,000 which will be reimbursed by the resellers who commited the wrong doing.

12) How does this company plan to finance aquisition in the future?

13) Is CA closed down for new business only? Are they still recieving revs for existing customers? if so how much monthly aprox? ans. yes/yes/ $1.51MM/MO

14) Does the alliance with PCS allow twt to sell local telephone to CA residents? ans. yes in 1 year

15) Where did ISG get the cash to purchase the Financial Group Inc? and what does a "net office" mean? ans. Total $$ was $100,00 + Pru gave 50MM Line Of Credit to fund mortgages.

16) Should common share holders be concerned about the large number of convertible pref. shares outstanding?
