Wayne, Welcome to the thread. I believe that the financing came from Alexander Wescott selling 504K restricted shares. I do not know for sure how long the restriction lasts.

Here is one of my previous posts that showed an example of how this works.

Here is the release that annouces Alexander Westcott as their Investment Banker. In my opinion, this was a good move.

It appears the total outstanding shares are still around 20 million.
The float is supposed to be around 7 million when the restriction expires on the 504 shares. So until that happens I believe the float is around 1.7 million. This information comes from previous posts that I have read and from the PR company.

I thought that the release was positive news. I do not know exactly what impact of the deal will have on the share value. I think that it could be quite good as FAMH is in an industry that has a very high profit margin.

I think that some people were expecting financials. When they are released that should be GREAT news.

A "Letter of Intent" is very similar to an "agreement in principle."
They are similar in that if you say you have an "agreement in principle," you are saying you have more details to examine but both parties like the proposed deal on the surface. A "Letter of Intent" says the same thing but is a formalized document.

Traditionally, I believe that a statement of an agreement in principle would be followed up by a formalized Letter of Intent. However, some people will use these terms interchangably.

Both simply say that the parties have more DD to perform before they actually sign an "Agreement" in fact.

I would be interested in hearing other comments.
