Hi Hermann
A non-broker private placement means that an individual investor approached the company without a third party. A private placement without a broker means that the company wouldn't have to pay a finders fee, usually a monitary and/or stock compensations for the third party. Adam Smith has been a shareholder for a few years and decided that corporate status has been the best he has seen and decided to do a PP(private Placement). Yes, Anyone can do a PP with AIRP and different criteria need to be met per individuals countries. Once you met those criteria, the person recieves stock at % discount from the market quotes.
