Scott, One last time, since it appears you are having difficulty understanding this concept.

1) Cowpatty is vulnerable to a fraud case. This is because he may have violated his duty to put shareholders interests above his own. This may have occured because he sold them his shares when he may or should have known about the poor sales and earnings results about to be released.

2) Managers can rarely be sued for incompetence because courts allow them a lot of lattitude in making business judgements. In other words, they are allowed to be wrong in making decisions. But fraud is another matter.
