It's not a private placement, it's a private transaction. An example of this would be if you were a company insider and wanted to sell x,xxx shares to a friend (off the floor), you just can't transfer the shares to them, you have to file the transaction in your insiders report. So, in this case, the stock was most likely sold to a friend.
