METROWERKS INC ("MWK-TM;MTWKF-Q") - Completion Of $21 Million Financing
Further to its announcement of October 7, 1997, Metrowerks Inc. announces that it has completed the private placement of 1,500,000 special warrants of Metrowerks at a price of $14.00 (approximately US $10.20) per special warrant. Each special warrant will be convertible into one common share of Metrowerks at no additional cost. The common shares to be issued on the conversion of the special warrants will be comprised of 1,250,000 from treasury and 250,000 by way of a secondary offering. The underwriting syndicate was led by RBC Dominion Securities Inc. and included CIBC Wood Gundy Securities Inc. and Gordon Capital Corp..
The net proceeds of the offering payable to Metrowerks were approximately $16,379,000 (US$11,917,000) after underwriting fees and expenses of the offering. In the near future, Metrowerks intends to file a prospectus to qualify the distribution of the common shares issuable or transferable on the exercise of the special warrants in the provinces of British Columbia, Alberta, Ontario, Quebec and Nova Scotia. Once the securities regulatory authorities of these provinces have issued a final receipt for the prospectus, the holders of special warrants will be entitled to convert the special warrants into freely tradable common shares of Metrowerks. Upon conversion of the special warrants into common shares, the special warrants will be cancelled. |
