If ASND management is in talk to be taken over by some poor sould out there, why would the top officers of the company (including Ejabat the founder and CEO of the firm) want to sell part of their shares (regardless of how large or smalll in numbers) at these low prices?!

Answer: Liquidity.
There will be no selling after the merger for a period of time.

Additional Question: If ASND management knows -- and now has publicly announced -- that they will meet 4Q and 1998 estimates, why would insiders sell at what was then perceived to be a market low (the selling started before the general NW selloff)?

Answer: Liquidity.
