"Wind River Systems will repurchase $10,000,000 of its Common Stock per year ($2.5 million per quarter) for issuance under its stock plans. On the open market at prevailing prices"...

Does this mean they will buy at the BEST market price (calculated from Wind's viewpoint) to be set by the market during the next four quarters? And then perhaps next year to? Wouldn't they naturally buy in at the lowest possible value of the company's stock during these periods?

How might management deploy this strategy of buy backs? What scenarios or market conditions are likely to trigger the BoDs to execute buy-backs? Perhaps we could list some indicators.
