If you are in the business, it shouldn't be to hard to give me a couple example companies and exhibit #'s of SPA's for me to look over. Also, you mention the stock decline over the preceding 30 days as a reason the SPA is BS. Although I am an amateur, I would look a lot deeper into the company than just a 30 stock price before I invesed $10 mill. I would hope the execution date of 2/8/2010 for this contract was only made after several months, if not a year or more, of due diligence.

Regarding your comment about the stock price being manipulated and proped up because you can't buy or sell even 1% of the stock without greatly affecting the stock price, I thought that was par for the over the counter course? If not, this amateur would appreciate some more examples of OTC companies that can handle higher than 1% volume days without a significant price change.

I am open minded to everyones opinion but would appreciate some back up.
