Ken: You have a good point here. The debenture holders usually have fairly strong rights as you suggest... and with zero profits to cover interest on this debt going forward, S3 could be in a real bind. The bond holders obviously can't see the stock at the $ 19 conversion level any time soon, so they may be highly motviated to overturn the whole agreement as you suggest.
