In a ongoing dialogue with Dave K (our rogue reporter) comes this excerpt.

Dave writes:

Based on conversation with Bunte, I do not anticipate that the referred to news releases for this month will be earth shaking but will, or at least should, add substance in re; company stability, as especially will the appointment of a creditable outside board. If that does indeed materialize it will, for me at least, represent a major, major step toward establishing NVID as a co. that means business, as it of course means relinquishing of the heretofore tight inside control. He has twice said that announcement would come in October and that the people are significant persons and that they have all accepted the invitation. They are not local cronies.

I concur with your statement regarding an appointment of an outside board, most encouraging.

I also feel that it will be well received, especially as we are about to see a succession of news releases that will lead us closer to a company that goes from developmental stage, to production stage.

As you can imagine, over the years I have followed several of these
developmental companies and have watched many come to fruition.

In reflecting on what made the difference between success and failure, it almost always could be attributed to one key element; the strength of management.

Management that were honest and stayed focused on there objectives, seemed to always come through and bare fruit. I remember watching TEAM go from .04 EPS losses, to .03, .02, etc., and I stuck with it, not because I just believed they enjoyed a niche in a growing market, but because the management kept their noses to the grindstone and just kept slugging away, constantly broadening their services and client base. Today, TEAM has a broad base of clients, has gone international, and are about to print their first double digit EPS. IDX (Identix) was another that is more easily compared to NVID. They had new technologies, an unlimited market, and management that was focused. Comverse Technologies, Michael Stores, US Homes, Storage Tech, Ion Laser Tech, all enjoyed success because of a dedicated management.

To see NVID seek out a board of directors, and start to focus on taking the company from developmental stage, to production stage, is very encouraging and reinforces my conviction that the timing for investment couldn't be better. As it begins to ramp up the first stage towards Microsafe becoming a revenue generating product for the company, this offers the best chance for
major percentage appreciation.

David, in closing, I just wanted to thank you for your time and energy in giving us your first hand opinion, and to also tell you that I agree fully with your assessment that NVID is about to double in price.

As we continue forward with our quest for all the answers, I assembled the attached list of what I feel are important issues and a brief summation of where we stand thus far. Also attached is a chronological list of recent events.

My quest by priority in evaluating NVID in ascending order is this.

1. Management Team
2. Product viability.
3. Market size for product.
4. Marketing plan.
5. Financial backing to afford implementation of Mktg. Plan.

Thus far, I believe we have started to gather enough information to start putting together a summary conclusion that address some of the above issues.

Particularly # 3. The market size is enormous for Microsafe. In fact I don't feel we have even scratched the surface. I break down the markets into two distinct categories, general disinfectants, and consumable disinfectants.
Both of which are endless in scope of market applications.

What we haven't even made clear is the outside possibility that Microsafe could be classified as a sterilization agent, which far exceeds the category of disinfectant. The difference is significant, and by definition, disinfectant means that it kills some of the germs or bacteria present,sterilization on the other hand means that it literally sterilizes by killing all bacteria present. The company has already gone on record as stating that it kills Staph A, Salmonella C, and Psuedomas A, within 30 seconds of contact. They are also on record as stating that they are about to test against other bacteria and viruses such as Tuberculosis, E. Coli, Polio, Herpes, Influenza, and many others.

If it should prove effective in killing even more of these viruses, it could have wide acceptance in the medical markets as evidenced by the news release on 8/20/96 referring to application in a Veterinarian application. (see attached) Then on 8/22/96 the news release regarding use of Microsafe as a sterilization agent of Endoscopes (attached), just reinforces this optimistic observation.

Would if we took it one step further and it was proven effective in not only prevention, but also cure, of some the listed viruses that cause infections.
Now that's a sobering aspect of a highly speculative nature.
But, would if?

Earlier I mentioned that we haven't scratched the surface, regarding
Microsafe's potential. With that in mind, I like to be more realistic and lets just assume it exceeds or equals the effectiveness of Isopropyl Alcohol, Lysol, or any other widely used general disinfectant. What's that worth? And. if it is proven to be safe for human consumption, then just keep adding sets of three zeroes behind the estimated market potential.

So I think # 3 is why we are most interested.

#5 Financial backing to bring products to market.

I was glad to see that they are sitting on cash and no debt. I would dig deeper as to what that cash position is, but wouldn't put to much emphasis on it. That's why it shows up last on my list. Reason is, if Microsafe lives up to it's expected potential, large companies will beat a path to their door, and license the formulation. If NVID is smart and keeps a close reign on each license's breadth of scope regarding application, they could end up with numerous cash generating agreements. Here again the company is already
on record as stating that two Fortune 500 companies have expressed interest.

That leaves further diligence needed on #1. Management, 2. Product
viability, and 3. Marketing plan.
As for management, although we have some background, only time will tell as to how wisely they perform in both a good business climate and if things should get tough. That is why I welcome the appointment of a good board of directors, we can only wait to assess their credentials. My biggest concern with companies that have this type of explosive growth potential is management's ability to handle rapid expansion. That is usually the downfall of many a young company. The management is good in bringing new technologies, but is lousy in handling the administrative duties that come with rapid expansion. This we will have to be patient and keep a close ongoing evaluation process in place.

2. Product viability is of course undergoing, or about to undergo, more intense testing . I am told that outside laboratory testing is being conducted, as we read this. I was also told that independent testing by very credible laboratories are lined up for more than just general feasibility. This aspect just accents the speculative nature of this investment, but by the same token, it is why we want to be positioned before the results. Once they are known, it will be decisive, either you will have a proverbial gold mine, or you will have wallpaper, so little old ladies with cardiac
problems, need not apply.

4. Marketing plan. Although premature, this will be critical in their bid for success. I will be very interested in how they will structure their deals, what they plan, if any, to hold back for possible self production. Most importantly, is to whom their partners will be. If they have what they claim to have, it will be evident by whom they choose to get into bed with.

Here is a list of current chronological news releases from August on. I think this tells the natural progression, and sets the stage for what we are about to see unfold.
