Symyx falls after ending sale talks with Certara

Symyx Tech shares decline after Certara withdraws offer to buy the company

NEW YORK (AP) -- Shares of Symyx Technologies Inc. sank Wednesday after the lab research and technology company said discussions about a sale to Certara Corp. have broken down.

THE SPARK: On Tuesday, Symyx said Certara and Vector Capital decided they would not offer to buy Symyx for $6.75 per share as the companies had previously discussed. Symyx said it concluded that Certara has withdrawn its offer and has terminated talks with Certara.

Symyx disclosed the news in a form filed with the Securities and Exchange Commission.

THE BIG PICTURE: Before Certara made its offer in late May, Symyx had agreed to a merger with Accelrys Inc. Wall Street expected the sale to Certara to go through because Certara was valuing Symyx at a higher price. But Symyx said it no longer has any offers that are better than the deal with Accelrys.

SHARE ACTION: Shares of Symyx, based in Santa Clara, Calif., dropped 66 cents, or 11 percent, to $5.37 in midday trading. The stock traded as high as $6.46 after the talks with Certara were disclosed. Accelrys shares rose 25 cents, or 3.9 percent, to $6.64.
