To keep voting control, a financing will have to be a combination of equity and debt. M. Edwards and friends would have to take both, likely through his investment company Edco, which is worth about $7 billion. Some of the debt will likely be convertible preferred's, subscribed to my M. Edwards et al. If the float, as small as it is, is largely held by retail investors, he could offer shareholders the opportunity to subscribe to a rights offering, backstopping the rights, knowing that only a small percentage would likely be exercised. That way, he could further increase his grip on the company. However III finances, it will be both interesting and telling.
