An aquistion must hit the spot (bullseye) ; it must be a perfect match / complement the core business. IT MUST LEVERAGE THE CORE BUSINESS!!! When LRCX aquired SEZ it was a PERFECT match because there are many pre and post cleaning steps related to etch and it makes sense to integrate these cleaning steps.
