Suggest this thread go back and read the Barron's Reg S post posted here earlier ( exchange2000.com ). It isn't a matter of choice, but a crush of demands for converting Reg S debentures to common stock that is necessitating this proxy solicitation. Guess what's probably next????

Their quick fix to quick and dirty financing hasn't "worked" like they were told it would, and the demands for common no exceeds authorized shares available. Under Sec. Regs they have no choice but to solicit for shareholder support. I can't believe this is a popular vote either!

No wonder this puppy has sunk to lows never before seen and likely not to recover from anytime soon...

How very sad for this company, their technology, and existing shareholders.
