I am no expert with the market but from my personal experience I notice that most of the time up until right before the deal goes though(signed and delivered) the selling company is not priced fully since why would someone want to take a risk that something goes wrong with the merger if something does go wrong then the stock price would be immediately discounted to prior merger talks but on the other hand if there is rumor of a bidding war with another company the the selling company's stock can go even higher then the bid.
