Kim, Agree that we "have to have details of the debenture in order to clearly analyze it", but you completely lost me with "even though it's not at a discount, say 80%". How do they discount a convertible note? IMHO you are hung up on 'Reg S' and 'convertible debenture' really rings your bell :) Show me one of your anecdotal Reg S disasters that involved conversion at a premium to the stock price. IPM's previous PPs [all Reg S BTW] involved below-the-market stock plus an above-the-market warrant sweetner--don't see why this PP isn't superior. Think I, like Lew, should stop posting in order to devote myself to my burgeoning fictional pursuits :) BusyBob
