Bob, the math of any convertible that is driven down to buy at a lower price (i.e. average of the last 5 trading days, etc.) is always a "premium" to the current price. Nasty stuff, check out AKSEF and EXSO for just a couple of these financing gems. Having said this, I don't know the details of the IPM funding. We need to understand the details before we can speculate about any potential market behavior.
