Briefly, Kim,
-I give you an interest-bearing note for $1000 (not $1050) that is payable at a time certain, perhaps as long as 5 years out, with perhaps a call provision.
-the conversion offer holds while you hold the note--it is after all at a premium to the then current price (probably would price on a MA to facilitate the conversion process).
