NOVEMBER 14, 1997 Trading: TSE:AMZ

America Mineral Fields Inc. (the "Company") is aware of certain media
reports concerning the completion of the negotiations on the Kolwezi
Tailings Project. The Kolwezi Tailings Project was awarded to the Company,
in accordance with the terms of the original Gecamines invitation to tender
and the Company's subsequent bid, on April 13, 1997 by President Laurent
Desire Kabila of the Democratic Republic of Congo. Subsequently, formal
Project documentation, including a Convention Agreement, was negotiated and
concluded with Gecamines and now awaits formal ratification by the Congo
government. The Company has met on several occasions with the relevant
members of President Kabila's cabinet and discussions have been friendly
and productive.
Chairman and CEO, Michael McMurrough, said "When negotiations take an
extended period of time rumors are bound to grow. The Company continues to
negotiate the final terms of the Convention Agreement and believes that the
project documents will be finalized in the near future."
