The above, according the the 6/3-/95 10-Q, traded the real estate company for a note which then was convertable into stock:
Page 13 of the 10-Q: "On June 26, 1995, the company entered into Amedment No. 4 to its Agreement and Plan of Merger originally dated March 31, 1994 with membership Realty Holding Corp. and the stockholders of Membership Realty Ltd., Inc. consisting of Richard E. Marchetta, Mary Kay Marchetta, Christian E. Carlsen and Susan Carlsen and 456 Trust. As revised by Amendment No. 4, the Company issued a new Convertible Promissory Note to Christian E. Carlsen as Trustee under Land Trust Agreement in the principal amount of $956,250 in lieu of the convertible Promissory Note issued pursuant to Amendment No. 3 to the Agreement and Plan of Merger in the amount of $900,000, the difference reflecting accrued interest not heretofore paid by the Company under the previous promissory note. The revised promissory note bears interest at the rate of 10% per annum and is payable on June 30, 1995, unless extended by the Company until December 31, 1996, during which extended period the rate of interest increases to 15% per annum. Interest on the note is payable monthly in advance during the period that the principal balance remains unpaid. Prior to maturity, the revised note is convertible into 382,500 shares of Common Stock of the Company, and resale of such shares would have the benefit of registration rights provided by the Company.....etc."
Also, D Bair (sold 39,000 shares) is Director of ISGI (or was a director), if this is Denise Bair.
DORMAN (sold 22,500), may be James M. Dorman, also known as Mickey Dorman, the supervisory committee chairman os SouthEast Employees Federal Credit Union (or was once), and one of the orginal persons who loaned funds to ISGI to float the very first issue of stock (source: page II-2 of Feb. 20 1990 SEC filing). ================================== |
