Item 1.01 Entry Into a Material Definitive Agreement.

On July 5, 2011, MultiCell Technology, Inc., or the Company, entered into a sponsored research agreement with the University Health Network, or UHN, a not - for - profit corporation incorporated under the laws of Canada. Under this agreement UHN will evaluate the Company’s product candidates, MCT-465 and MCT-485, in in vitro models for the treatment of primary liver cancer. The mechanism of action of MCT-465 and MCT-485 and their potential selective effect on liver cancer stem cells will also be evaluated. Under the terms of the agreement, the Company will retain exclusive access to the research findings and intellectual property resulting from the research activities preformed by UHN. The foregoing description of the agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the agreement, a copy of which is attached hereto as Exhibit 10.1 to this current report on Form 8-K.

Item 8.01 Other Events.

On July 11, 2011, the Company issued a press release announcing that the Company entered into the above reference sponsored research agreement with UHN. The text of the press release is included as Exhibit 99.1 to this current report on Form 8-K.
