I belleve that should TI succeed in this takeover those who do not submit their shares for payment will not automatically be paid.

Should the takeover succeed at some point AMTX will no longer meet NASDAQ listing requirements and will be delisted. As such it would become a thinly traded stock and one holding shares might have a very difficult time selling them. Also TI would be in the driver's seat and could refuse to purchase the shares or offer less than the current $20/share.
