SoftQuad Shareholders v. Lernout Hauspie et al et ux?
In Re: Kurzweil Voice Xpress
Issues of Fact.
Alpha/Lernout Hauspie have represented all along pursuant to Alpha's web site retail.alphasoftware.com coop advertising in national newspaper supplements and directly on Kurzweil VoicePad, VoicePlus, et al packaging $25 and $50 promotions are currently in place which entitle the purchaser ($25 mail-in rebate ref/VoicePad) "$10 Coupon Towards Kurzweil VoiceCommands (available now) or Kurzweil VoiceXpress (available Dec. '97)" and ($50 mail-in rebate ref/VoicePlus) "$25 Coupon Towards Kurzweil VoiceCommands (available now) or Kurzweil VoiceXpress (available Dec. '97)"... Accordingly, Voice Xpress is a Kurzweil product.
On November 18, 1997 Steve Schneider, CFO, (NASDAQ:SWEBF) confirmed SoftQuad is still in negoitiations with the Kurzweil product line and also confirmed that Lernout Hauspie will be publishing/distributing Voice Xpress. Furthermore, SoftQuad/Alpha, effective November 18, 1997, removed any reference to said "$25/$50 Kurzweil Voice Xpress Rebate program" from their web site retail.alphasoftware.com
despite said Alpha Lernout & Hauspie Kurzweil Voice Xpress coupon rebate promotion appearing on all existing Alpha Kurzweil VoicePad and VoicePlus retail packaging nationwide.
Issues of Law.
Accordingly, SoftQuad shareholders allege possible issues/causes of action, including but not limited to, alleged: fraudulent concealment, fraudulent misrepresentation, antitrust issues re: restraint of trade, (FTC) false advertising, unfair competition; interference with business and contractual relationship, deceipt, breach of contract, specific performance, frudulent intent, conspiracy in restraint of trade, and RICO laws violations.
