13d is a required disclosure of the securities and exchange commission I dont know the textbook definition, but its when an individual buys a big chunk of stock. the 8/25/97 filing list a lot of the movers and shakers of CKE, (Carls Jr) buying stock in Checkers. I foud it at sec.gov Dr. Link
