Zynga Reveals Just How Much Power Mark Pincus Has

We already knew that Mark Pincus had considerable control over his online social-gaming company Zynga thanks to a multi-class stock structure. Now we know exactly how much that voting power represents.

According to Zynga’s newly amended IPO prospectus, Pincus has 38.5% of the company’s voting power. Despite owning just 16% of the company’s Class B shares, he has 100% of its powerful Class C shares, which gives him 70 votes per stock. Second on the list is Zynga investor Kleiner Perkins Caufield & Byers, with 8.4% of the voting power.

How does Pincus’ level of control compare with some other high-profile Internet companies?

LinkedIn’s Reid Hoffman has 21.7% of the voting power at his company. But that’s nothing compared to Zillow founders Richard Barton and Lloyd D. Frink, which together hold 84.5% of the voting power.

Brian Sharples of HomeAway, meanwhile, gets a measly 2.75%.

Much-fabled yet not yet publicly known: Mark Zuckerburg’s control over Facebook.

Also in the amended IPO filing: Zynga has chosen Nasdaq as its exchange of choice, with the symbol ZNGA. (Zillow has the “Z.”)
