I just recieved a copy of the prospectus in the mail so if anyone has any questions, I'll try to find the answer.

Some of interest:
Following the IPO, ownership will be:
subsidiary of the Associated Group 41.4%
affiliate of Telecom Ventures 33.2%
NTT 11.2%
leaving new shareholders 14.2%
Up to 550,000 shares are reserved at IPO price for company officers of which Mandl is buying $5.0M.

Company owns licenses in 74 markets, including 27 of the largest 35.
In the largest markets, they have from 320 to 400Mhz of bandwidth.
80Mhz in the rest.

"In the relocation order, the FCC announced that it will conduct a rulemaking proceeding to devise rules for the issuance of licenses for up to five 80 MHz channels in the 24 GHz spectrum band in each market except for those licenses already issued to the Company and other previous 18 GHz licensees."

That's not clear to me whether 400 MHz is the max allowed in each market, or they will auction off an additional 400 MHz in markets where TGNT already has licenses.

Looks like about 120 pages, so alot of reading.

It's seems clear however, that WinStar has at least twice the bandwidth, and is in a least twice the number of cities, that TGNT is. They also have at least a two year head start. So it will be real interesting to see how the market views this IPO.
