I don't know where you get your information, but why would the company do a Regulation S's when they now have cash flow and they are not heavily in debt. You may be confusing accumulated losses to debt. The difference being the accumulated losses do not need to be paid back and are a tax write-off from profits. There is no need to issue any new stock from what I read, the company is or will be self-sufficient from present revenues.
