The investigation concerns whether the Novellus Board of Directors breached their fiduciary duties to Novellus stockholders by failing to adequately shop the Company before entering into this transaction and whether Lam Research is underpaying for Novellus shares, thus unlawfully harming Novellus stockholders. The problem here is that there is no other potential buyer out there: AMAT: complete overlap zero chance KLAC: makes no sense ASML: makes no sense TEL: also overlap BTW: LRCX and TEL were once partners and it did not work out - "chemistry" did not mix; it's like trying to mix water with oil
