It doesn't seem like the message was "we need a partner to go to the next level." It's more likely that the message was "we (Amati) have come to the conclusion that we can't compete."

Some of the earlier contract losses told Amati that the RBOCs need end to end solutions and it seems that later on Amati figured out that it was going to be cost competitive (Duh), hence their recent arrangement with Cadence.

When Amati made the deal with Westell, they mutually said that the market was big; Amati accepted that CAP was here to stay and Westell was better adept at running the business....but a Westell/Amati partnership could be the premier provider of ADSL solutions. Then TI comes along and apparently Amati came to the conclusion that Westell/Amati couldn't pull it off and it's better to take the cash and run.

To put it differently, Amati conluded: we're good technologists, we don't know how to run a business and the big guys are going to win it all....
