With regard to the auditor's, auditors review the financial statements to ensure that there are no MATERIAL misstatements. Is the less than 10% restatement material?? I don't really think it is. Also, the auditors report will specifically say that the purpose of the audit is not to detect fraud. If S3 gave them incorrect inventory reports, I don't think the auditors will have any liability.
