Your post appears to a reasonable analysis of the downside of the deal and the market does appear to be reacting in this manner...however while not quite a "bet the company" move it was nonetheless "gutsy" for all the same reasons that you site. This move is a strategic one for Borland at a time when they can't really afford to do it, but on the other hand they have to make bolds move if they want to continue to survive and prosper. This is a play for the enterprise market, important with respect to competing with Forte, important with respect to having more of an architectural solution, as opposed to a product based solution, important with respect to the value they can offer their partners, etc. All in all this move, IMHO, will prove to be incredibly important to Borland's over all strategy. It looks like a buying opportunity to me.
