I printed out the insidertrader.com listing of Form 4s. The last such Form 4 was for a trx on 10/23:
Deshpande sold 5,000 shares on 10/23, record date of 11/19 Ejabat sold 15,000 shares on 10/21, record date of 11/19 Sanford sold 15,000 shares on 10/17, record date of 11/19 Kind sold 18,750 shares on 10/16, record date of 11/19 Dahl sold 169,703 shares on 10/16-17, record date of 11/19 Smith sold 55,000 shares on 10/15-22, record date of 11/19.
That is it for the Form 4s on www.insidertrader.com
EdgarOnline shows a Hendren sale of 88,541 shares, filed 10/31 . EdgarOnline shows Deshpande sold 15,000 shares, filed 10.29.
So, there clearly are discrepancies going on. For all we know, the new 55,969 shares showing up in November 144s on insidertrader.com are for some of the above Form4 filings that occurred in October. Thus, there were no 144s yet for Smith (55,000 shares) or Kind or Dahl on EdgarOnline. Maybe now they are showing up. Still, I can't figure out why the trx price reflects a November timeframe.
Bottom line: For me, anyway, there is too much confusion going on with these supposed insider sales to make an investment determination thereon.

P.S. About twice the number of insider trades occurred 1 month before the CSCC acquisition. |
