To All:

Venting some frustration. Know this will do no good, but just sent the following to AMATI and TI. Perhaps if others do the same they may take notice.

"I have owned ICOT/AMATI for more than nine years. My basis in the stock is $2.00 per share. I have been a loyal stock holder for many years through good and bad times. I am not upset with the recommendation of accepting $20 per share. I am not thrilled with the all cash offer instead of a sock swap, however I accept the cash and will go forward. The purpose of this letter however, is to voice my dismay and dissatisfaction of having a forced sale of my stock and that the sale take place almost immediately and terminate just prior to the end of the year.

The AMATI stock is asizable part of my portfolio. The capital gains tax is considerable in that I have not had an opportunity to plan for the tax consequences, not to mention the penalties and interest I may incure from not estimating my taxes properly. Westell has had a relationship with AMATI for thirty days and received $13.5 million. I have been with AMATI nine years. Is it to much to ask that the tender offer be extended 10 days to allow at least some degree of fair play to minority share holders?"
