I am not sure about the filing requirements is only the percentage increases.. I do know that if Biglari tendered some iof his shares, we will have to file. I suspect that Biglari did not tender any of his shares. The tender offer allows him to increase his relative position in ITEX without drawing any heat from the company. At this point, the $1.2 million that Biglari has in ITEX is really not that material to his overall holdings.
