Re FPO In 2006, we completed a private placement of unsecured Senior Notes totaling $75 million - ? $37.5 million in Series A Senior Notes matures in June 2013 ? $37.5 million in Series B Senior Notes matures in June 2016 ? We have had a disagreement with the Noteholders over the methodology for calculating certain debt covenants, specifically Consolidated Debt Yield and Maximum Dividend Payout Ratio. ? The disagreement centered around whether or not to deduct acquisition costs when calculating EBITDA and impairment charges when calculating FFO. ? We have agreed to calculate both covenants using the Noteholders’ definition going forward"
