BEDFORD, Mass., April 27, 2012 /PRNewswire/ -- Aware, Inc. ( AWRE) announced today that it has signed an agreement for the sale of selected patents and patent applications to Intel Corporation for approximately US $75,000,000.00, subject to customary closing conditions and any required regulatory approvals. The patents and patent applications relate to WiFi (802.11n/ac), LTE and Wireline Home Networking. The sale is part of our patent management operation's efforts to sell and/or license portions of our patent portfolio. Global IP Law Group, LLC represented Aware in this transaction.



We expect to be able to use our deferred tax assets to substantially or completely offset taxable income attributable to this transaction. We intend to continue to pursue patent monetization alternatives for certain other patents remaining in our patent portfolio. We are unable to predict the size or the timing of any future potential transactions involving such patents or whether such transactions will be completed

The tax treatment of the special cash dividend will depend on the amount of the company's current and accumulated earnings and profits as of December 31, 2012, as determined by the Internal Revenue Code. Therefore, the company is unable to determine how the special cash dividend will be treated under U.S. tax law at this time.
