Seriously? Please post the regulation with the link that says this is true. And while you're at it, please post where it says they're also allowed to have non-disclosed information and make open market purchases while signing a non-disclosure agreement, as some have done who also participated in the last PIPE. Or are you just repeating something that was told to you or sent to you in a private message?

And that is called not reading the SEC regs.

Private placement participants are allowed to have information not available to the general public. Check the regs. In fact they are required to be under a non-disclosure agreement by regulation if the information they get is not public.
