IMO, CPQ will consider buying DEC first before ASND. It has been
heavy speculation that CPQ is after DEC with a $70++ offer. The
higher CPQ stock price goes up, the higher possibility the DEC offer
will happen. If the offer to DEC is $73, it is about a $10 billion
deal. DEC will have about $2.8 billion CASH on the book alone.


ASND at its current price will NOT be a takeover target from
management point of view unless there is a hostile bid at $50++ offer.
But if ASND goes up to $40+ by 2Q '98, then it can become a merger
target with potential bid around $50-$56.
