Bankruptcy laws are different in the UK. If the UK sub was in bk, it would likely be put into receivership and liquidated. I am a little unclear on the exact ramifications of being wholly owned by a US firm, but that is what happens to stand alone firms under UK bk law. Basically Chapter 7 with the residual going to the equity after the others have been paid off in cash.
